Welcome to our Terms of Use. We encourage you to read this section before signing up for our services to understand your rights and responsibilities.

PLEASE READ THESE TERMS OF SERVICE (THESE “TERMS”) CAREFULLY. THESE TERMS GOVERN ACCESS TO AND USE OF THE VOUCHERY PLATFORM AND SERVICES BY BUSINESS CUSTOMERS ONLY.

By accessing or using the Vouchery platform, APIs, dashboards, software, documentation, websites, mobile apps, or related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
 
These Terms apply solely to business and enterprise customers acting in a commercial or professional capacity. Consumers are not permitted to use the Services directly.

2. Structure of These Terms

​

These Terms govern:
​
  • Access to and use of the Services;
  • Free trials, pilots, and proof‑of‑concept deployments;
  • Paid subscriptions, unless superseded by a separate written agreement.

If you have entered into a separate written agreement with Vouchery (including a Master Subscription Agreement, Software License Agreement, Order Form, or Statement of Work) (a “Customer Agreement”), that agreement controls in the event of a conflict.

3. Eligibility & Authority

By using the Services, you represent and warrant that:
  • You are acting on behalf of a legal entity;
  • You have full authority to bind that entity to these Terms;
  • Your use complies with all applicable laws and regulations.

4. The Services

Vouchery provides a software‑as‑a‑service (SaaS) platform for creating, distributing, managing, and redeeming promotional instruments (including vouchers, coupons, loyalty rewards, referrals, gift cards, and related incentives), primarily via APIs and dashboards.

The Services may evolve over time. We may add, modify, or discontinue features, provided that such changes do not materially degrade the core functionality purchased under an active subscription.

5. Accounts & Security

5.1 Account Registration

You must create an account to access the Services. You agree to provide accurate, complete, and current information and to keep it updated.

5.2 Account Security

You are responsible for:

  • All activity under your account;

  • Maintaining the confidentiality of credentials;

  • Ensuring users you authorize comply with these Terms.

You must promptly notify us of any unauthorized access or security incident.

6. Acceptable Use

You may use the Services only for lawful business purposes and in accordance with these Terms.

You shall not:

  • Reverse engineer, decompile, or attempt to extract source code;

  • Circumvent usage limits, security, or access controls;

  • Use the Services to engage in fraud, deception, or misleading promotions;

  • Distribute unlawful, infringing, defamatory, or harmful content;

  • Interfere with system integrity or performance;

  • Use the Services to process consumer data except as authorized by your agreement and applicable law.

We may suspend or terminate access for violations.

7. Customer Data & Privacy

7.1 Customer Data

You retain ownership of all data, content, and materials submitted to the Services (“Customer Data”).

You grant Vouchery a limited, non‑exclusive license to process Customer Data solely to:

  • Provide and operate the Services;

  • Prevent fraud and abuse;

  • Comply with legal obligations.

7.2 Privacy & Data Protection

Our processing of personal data is governed by our Privacy Policy:

You represent and warrant that:

  • You have obtained all necessary rights, notices, and consents;

  • Your use of the Services complies with applicable data protection laws (including U.S. state privacy laws, GDPR where applicable, and other relevant regulations).

8. Fees, Billing & Taxes

8.1 Fees

Fees are as specified in your Order Form or subscription plan. All fees are non‑refundable unless expressly stated otherwise.

8.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis;

  • Fees renew automatically unless terminated in accordance with your agreement;

  • You authorize us (and our payment processors) to char
